Agreement

1. What This License Covers

This agreement grants you a license to use the Acute SEO plugin(s) listed above on your Authorized Domain for as long as your subscription remains active and in good standing. Your license includes access to the plugin software, automatic updates, and technical support as described in your service agreement.

This is a license to use the software — not a transfer of ownership. Acute SEO retains full ownership of all code, designs, algorithms, and intellectual property within the plugin.

2. Your Authorized Domain

Your license is tied to the specific domain listed above. The plugin includes automatic domain verification that confirms it's running on an authorized site. Here's what that means for you:

• The plugin will only function on the domain registered to your license key.
• If you need to move your website to a new domain, contact us at least 14 business days in advance and we'll transfer your license at no charge (one free transfer per year).
• The plugin cannot be installed on additional domains without purchasing a separate license for each.
• Staging and local development environments (e.g., staging.yourdomain.com, localhost) are permitted for testing purposes only and do not require a separate license.

3. What You Can and Can't Do

You CAN:

• Use all plugin features on your Authorized Domain
• Receive and install updates automatically
• Contact us for technical support during your subscription
• Publish and use all content generated by the plugin
• Use the plugin on staging/development versions of your authorized site

You CANNOT:

• Copy, share, redistribute, or resell the plugin or any of its code
• Install the plugin on websites not covered by your license
• Attempt to reverse engineer, decompile, or extract the source code
• Remove or alter any license verification, branding, or attribution within the plugin
• Share your license key with anyone outside your organization
• Use the plugin to build a competing product or service

4. Payment and Billing

Your license fee is billed on the recurring cycle indicated above. If payment is not received within 15 days of the due date, a late fee of 1.5% per month may apply. If payment remains outstanding for more than 30 days, we reserve the right to suspend your license, which will deactivate the plugin on your website until the balance is resolved.

All fees are non-refundable. If you choose to cancel, your license will remain active through the end of the current billing period.

5. Updates and Support

As long as your subscription is active, you'll receive automatic plugin updates including bug fixes, security patches, and new features. Updates are delivered through a secure update channel and will appear in your WordPress dashboard just like any other plugin update.

Technical support covers installation, configuration, and troubleshooting of the plugin. It does not include general WordPress support, third-party plugin conflicts, or server/hosting issues unrelated to our software.

6. AI-Generated Content

If your licensed plugin generates content using artificial intelligence (such as blog posts, schema markup, or chat responses), please be aware of the following:

• AI-generated content should be reviewed by a human before publication.
• You are responsible for the accuracy and appropriateness of all published content.
• Content generation features rely on third-party AI services (such as Anthropic Claude) whose availability and pricing may change.
• If you provide your own API keys, you are responsible for all usage charges from those providers.
• Acute SEO does not guarantee specific SEO rankings or outcomes from generated content.

7. What Happens If Your License Is Suspended or Terminated

Your license may be suspended or terminated if:

• Payment is more than 10 days overdue
• The plugin is detected on an unauthorized domain
• You breach any material term of this agreement
• Your service agreement ends and is not renewed

Upon suspension or termination, the plugin will be remotely deactivated on your website. This means plugin features will stop functioning, but your existing website content (published blog posts, pages, etc.) will not be affected or deleted. If you wish to reactivate, simply bring your account into good standing and contact us.

8. Intellectual Property

All plugin code, design, functionality, documentation, and related materials are and remain the exclusive property of Acute SEO and are protected by U.S. copyright law. This license does not grant you any ownership rights.

Content you create or publish using the plugin (blog posts, pages, etc.) belongs to you. The plugin itself — the tool that creates that content — belongs to Acute SEO.

9. Limitation of Liability

Acute SEO provides the plugin "as is." While we work hard to keep everything running smoothly, we cannot guarantee uninterrupted or error-free performance. We are not responsible for lost revenue, traffic, rankings, data, or any indirect damages arising from the use of or inability to use the plugin.

Our total liability for any claim related to this agreement is limited to the amount you've paid us in the 12 months prior to the claim.

10. General Terms

• This agreement is governed by the laws of the State of Nevada. Any disputes will be resolved in Washoe County, Nevada.
• We may update these terms with 30 days' written notice. Continued use after notification constitutes acceptance.
• If any part of this agreement is found unenforceable, the rest remains in full effect.
• This agreement, along with your service agreement, represents the complete understanding between us regarding the plugin license.
