1. What This License Covers

This Software License Agreement (the “License”) governs your use of all WordPress plugins licensed and distributed by Acute SEO, LLC (“Company,” “we,” “us,” or “our”) and installed on a WordPress site you control (the “Authorized Domain”). The plugins covered by this License include:

• AI Accessibility — a standalone licensed plugin sold under our Compliance Plans (Essential, Compliance Professional, and Compliance Enterprise tiers). Provides WCAG 2.1 AA scanning, server-side accessibility remediation, and compliance documentation generation. The commercial terms for AI Accessibility are set out in your Compliance subscription.
• Internal-use plugins distributed as part of an active SEO retainer with Acute SEO, LLC — including, without limitation, Schema, Blog, and Geo, and any additional plugins added to our License Manager in the future. The commercial terms for these plugins are included in your separate SEO Service Agreement; their installation, operation, domain authorization, and license-key behavior are governed by this License.

All plugins covered by this License are subject to the same rules regarding authorized domains, reverse engineering, redistribution, license-key confidentiality, and remote deactivation described in the sections below. The commercial arrangement differs by product; the license-behavior rules do not.

This License does not cover the Conversion System (AI Chatbot + AI Contact Form) offered under our Conversion Plans (Starter, Growth, Professional, and Enterprise tiers). The Conversion System is a multi-tenant SaaS product delivered via cross-origin embed scripts rather than installable software; it is governed by the Terms of Service and the License framework does not apply to it.

This is a license to use the software — not a transfer of ownership. Acute SEO, LLC retains full ownership of all code, designs, algorithms, and intellectual property within the plugins covered by this License.

2. Your Authorized Domain

Each license is tied to one or more Authorized Domains on which the licensed plugins may run. Every plugin covered by this License includes automatic domain verification that confirms it's running on an authorized site. Here's what that means for you:

• Each covered plugin will only function on a domain that has been authorized on your license record.
• A single Authorized Domain may run multiple plugins covered by this License under one license record. For example, an active SEO retainer client may run Schema, Blog, and Geo on the same WordPress site under a single license. Each plugin independently verifies domain authorization.
• The number of Authorized Domains permitted per license depends on the commercial arrangement: Compliance plans specify a domain count (1 for Essential, up to 3 for Compliance Professional, unlimited for Compliance Enterprise). Internal-use plugins distributed via SEO retainer are authorized on the retainer client's domain(s) as specified in the SEO Service Agreement.
• If you need to move your website to a new domain, contact us at least 14 business days in advance and we'll transfer your license at no charge (one free transfer per year).
• The plugins cannot be installed on additional domains not covered by your license without purchasing a separate license (for standalone products) or adding the domain to your SEO retainer (for internal-use plugins).
• Staging and local development environments (e.g., staging.yourdomain.com, localhost) are permitted for testing purposes only and do not require a separate license.

3. What You Can and Can't Do

You CAN:

• Use all features of each covered plugin on your Authorized Domain(s)
• Receive and install updates automatically
• Contact us for technical support during your subscription or active SEO retainer
• Publish and use all content generated by the covered plugins
• Use the covered plugins on staging/development versions of your authorized site

You CANNOT:

• Copy, share, redistribute, or resell any covered plugin or any of its code
• Install any covered plugin on websites not authorized under your license
• Attempt to reverse engineer, decompile, or extract the source code of any covered plugin
• Remove or alter any license verification, branding, or attribution within any covered plugin
• Share your license key with anyone outside your organization
• Use any covered plugin to build a competing product or service
• Continue using any covered plugin after your subscription or SEO retainer has ended and your license has been suspended or revoked

4. Payment and Billing

For AI Accessibility subscriptions: Your license fee is billed on the recurring monthly or annual cycle you selected at sign-up. If payment is not received within 15 days of the due date, a late fee of 1.5% per month may apply. If payment remains outstanding for more than 30 days, we reserve the right to suspend your license, which will deactivate the plugin on your website until the balance is resolved. All fees are non-refundable. If you choose to cancel, your license will remain active through the end of the current billing period.

For internal-use plugins distributed via SEO retainer: There is no separate license fee for these plugins while your SEO retainer is active and in good standing. Your SEO Service Agreement governs the retainer commercial terms, including payment, renewal, and termination. When your SEO retainer ends — whether by mutual agreement, non-renewal, or non-payment — the license covering the internal-use plugins ends as well, and those plugins will be remotely deactivated on your Authorized Domain(s) as described in Section 8.

5. Acceptance of This License

You accept this License by any of the following actions:

• Checking the “I agree” box on an invoice or onboarding form that references this License;
• Activating a license key via the settings page of any covered plugin;
• Completing payment through a Stripe checkout link provided by Acute SEO, LLC for an AI Accessibility subscription;
• Executing or continuing under an SEO Service Agreement with Acute SEO, LLC under which one or more internal-use plugins covered by this License are installed on your website;
• Continuing to use any covered plugin after being presented with this License.

Your first affirmative acceptance binds you, and each subsequent use, payment, or retainer renewal confirms your continued acceptance of the then-current version of this License. Acceptance of this License is in addition to, and does not replace, acceptance of the Terms of Service and Privacy Policy, which also govern your relationship with Acute SEO, LLC.

6. Updates and Support

As long as your subscription is active, you'll receive automatic plugin updates including bug fixes, security patches, and new features. Updates are delivered through a secure update channel and will appear in your WordPress dashboard just like any other plugin update.

Technical support covers installation, configuration, and troubleshooting of the plugin. It does not include general WordPress support, third-party plugin conflicts, or server/hosting issues unrelated to our software.

7. AI-Generated Content

Several of the covered plugins generate content using artificial intelligence (including blog posts, schema markup, accessibility remediation patterns, and chatbot responses on applicable products). AI inference for covered plugins is routed through Acute SEO's centralized License Manager proxy, which uses Company-provided API keys — you do not need to provide your own AI provider keys. Please note:

• AI-generated content should be reviewed by a human before publication.
• You are responsible for the accuracy and appropriateness of all content published on your website, including AI-generated content.
• Content generation features rely on third-party AI services (including Anthropic Claude and OpenAI) whose availability, performance, and pricing are beyond our control.
• Acute SEO, LLC does not guarantee specific SEO rankings, traffic outcomes, or business results from generated content.
• AI inference is rate-limited per license; published rate limits may change over time and are enforced by the License Manager.

8. What Happens If Your License Is Suspended or Terminated

Your license may be suspended or terminated if:

• Payment on an AI Accessibility subscription is more than 10 days overdue;
• Your SEO retainer with Acute SEO, LLC has ended or has been non-renewed;
• Any covered plugin is detected running on a domain that has not been authorized on your license;
• You breach any material term of this License.

Upon suspension or termination, the covered plugins will be remotely deactivated on your Authorized Domain(s). This means plugin features will stop functioning, but your existing website content (published blog posts, pages, schema markup previously emitted, accessibility-statement page previously generated, etc.) will not be affected or deleted. If you wish to reactivate, bring your account back into good standing — renew your subscription, resume your SEO retainer, or resolve the breach — and contact us.

9. Intellectual Property

All plugin code, design, functionality, documentation, and related materials in the covered plugins are and remain the exclusive property of Acute SEO, LLC and are protected by U.S. copyright law. This License does not grant you any ownership rights in the plugins themselves or their underlying technology.

Content you create or publish using the covered plugins (blog posts, pages, schema, generated alt text, chatbot transcripts, etc.) belongs to you. The plugins themselves — the tools that create that content — belong to Acute SEO, LLC.

10. Limitation of Liability

Acute SEO, LLC provides the covered plugins “as is.” While we work hard to keep everything running smoothly, we cannot guarantee uninterrupted or error-free performance of any covered plugin. We are not responsible for lost revenue, traffic, rankings, data, or any indirect, incidental, consequential, special, or punitive damages arising from the use of or inability to use any covered plugin.

Our total aggregate liability for any claim related to this License is limited to the amount you have paid to Acute SEO, LLC in the 12 months immediately preceding the event giving rise to the claim.

11. General Terms

• This agreement is governed by the laws of the State of Nevada. Any disputes will be resolved in Washoe County, Nevada.
• We may update these terms with 30 days' written notice. Continued use after notification constitutes acceptance.
• If any part of this agreement is found unenforceable, the rest remains in full effect.
• This agreement, along with your service agreement, represents the complete understanding between us regarding the plugin license.
